Affiliate Program Agreement

1. Program and approval. Joining is free, but every application is reviewed — you're an affiliate only once we approve you and issue your link. We may approve, decline, pause or suspend any affiliate at our discretion, including where we suspect a breach of these terms.
2. Commissions. For each new paying customer you refer, you earn 25% of their first payment, then a recurring share of every later payment they make for up to 36 months per customer — 5%, 6%, 7% or 8% depending on your rank (Bronze, Silver, Gold or Diamond, based on how many of your own referred customers are currently paying). You also earn a one-time retention bonus of ₹150 (or $2) for each referred customer who is still paying after day 90. All commissions are computed on net revenue — the amount we actually receive after payment-gateway fees and taxes.
3. Payouts. We pay out monthly, for balances of at least ₹500 (or $10). Each commission first goes through a 30-day clearing period so refunds and chargebacks can settle. Payment is made manually to the UPI or PayPal details you give us. Anything below the minimum rolls over to the next month — and it will not sit there indefinitely: we sweep out any remaining cleared balance at least once a year, and you may ask us to release a below-minimum balance at any time. You never lose a cleared commission by being under the threshold.
4. Your link name. Your code is yours from the day you are approved, and we will not take it back while your account is open. Very short or generic codes are reserved and unlock once you reach Silver rank; claiming one adds a code rather than replacing your original, so links you have already shared keep working. Inactivity alone will never cancel your account or stop commissions on customers you have already referred.
5. Taxes. If you are a tax resident of India, we withhold 5% TDS on payouts under section 194H of the Income-tax Act — 20% if you haven't given us your PAN. If you are not an Indian resident, we withhold nothing on our side. Either way, you are responsible for reporting and paying your own taxes on what you earn from the program.
6. Clawbacks. If a referred payment is refunded, charged back, cancelled or found to be fraudulent, the commission on it is reversed — proportionally, for partial refunds. Reversed amounts are netted against your future payouts.
7. Prohibited conduct. You must not: refer yourself or accounts you control; create fake, incentivized or otherwise artificial signups; send spam; make misleading claims about our products, pricing or the program; bid on AV Technologies brand keywords in paid search; or use cookie stuffing or any technique that fakes attribution. Any of these can end your participation and forfeit unpaid commissions.
8. Mandatory disclosure. When you promote us, you must clearly disclose your material connection — for example, "I earn a commission if you subscribe." — as required by the advertising and consumer-protection rules that apply where you promote.
9. Brand use. While you're in the program you have a limited, revocable licence to use the AV Technologies name and logo truthfully to promote us. You may not imply that you are our employee, exclusive partner or official representative, or alter our branding.
10. Term and termination. Either of us may end this arrangement at any time, for any reason. Commissions earned and cleared up to the day of termination are paid out as normal. If we suspend you for breaching these terms, unpaid commissions are forfeited.
11. Changes. We may update commission rates, ranks, bonuses, thresholds or these terms from time to time. Changes apply prospectively — to payments made after the change — and we'll give you notice, normally by email and in your dashboard.
12. No guarantee of earnings; independent contractor. Earnings depend entirely on the customers you refer and how long they stay — we make no promise of any income. You take part as an independent contractor: nothing in this program creates employment, agency, partnership or a franchise.
13. Governing law. This agreement is governed by the laws of India; the courts at Jaipur, India have exclusive jurisdiction.
